MPWV Meat Goat Producers Association

Article
I: NAME
The name of the association is the MPWV Meat Goat Producers
Association and hereafter known as the Association.
Article II: PURPOSE
The purpose of this Association shall be:
1. To promote a quality meat goat industry worldwide.
2. To provide our members with the information to help them breed and raise
quality meat goats.
3. To help our members locate a ready market for their end product.
4. To conduct shows and educational meetings for the benefit of members and
general public when applicable.
5. To organize state/local chapters of this association throughout
Article III: MEMBERSHIP
Section 1: Classes of Members. The Association shall have three classes of members. The designation of
such classes and the qualifications and rights of the members of each class
shall be as follows:
A. Individual members shall pay full dues and have full membership
rights.
B. Junior members may not vote or hold elective office.
C. Associate members may include educators, veterinarians, etc.
Section 2: Voting Rights. Each member in good standing, except for junior members shall be
entitled to one vote on each matter submitted to a vote of the members.
Section 3: Dues. The
membership shall establish the dues rate. Dues will be due on July 1st of
each year.
Section 4: Termination of Membership. The membership may, by an affirmative vote of two-thirds majority of
the membership, suspend or expel a member for cause after an appropriate
hearing, or terminate the membership of any member who becomes ineligible for
membership, or who may be in default in the payment of dues for a period time
as determined by the membership.
Section 5: Reinstatement. Upon written request by a former member and filed with the Secretary,
the membership may, by affirmative vote of two-thirds majority of the
membership, be reinstated.
Section 6: Transfer of Membership. Membership in this Association is not transferable or assignable.
Article IV: MEETING OF MEMBERS
Section 1: Annual Meeting. An annual meeting of this Association shall be held each year for the
purpose of electing officers and for transacting of other such business as may
come before the meeting.
Section 2: Special Meeting. The President or not less than one-tenth majority vote may call special
meetings of the members from members with voting rights.
Section 3: Place of Meeting. The Officers may designate any place as the place of meeting for any annual
meeting or for any special meeting.
Section 4: Notice of Meetings. Written notice stating the place, day, and hour of any meeting of
members shall be made upon each member entitled to vote at such meeting, not
less than ten days before such meeting, by the secretary of the organization.
Section 5: Quorum. A
majority of members present, in person or by proxy, at any meeting of the
membership shall constitute a quorum. If a quorum is not present at any meeting
of members, a majority of the members present may adjourn the meeting from time
to time without future notice.
Section 6: Proxies.
At any meeting of members, a member entitled to vote may vote by proxy executed
in writing by the member.
Article V: OFFICERS
Section 1: Officers.
The officers of the Association shall be a President, 1st Vise President, 2nd
Vice President, Secretary, and Treasurer.
Section 2: Election and Term of Office. The officers of the Association shall be
elected annually by the voting membership, at the annual meeting of the
association. Officers may not serve more than two consecutive terms.
Section 3: Vacancies.
A vacancy in any office because of death, resignation, removal,
disqualification or otherwise, may be filled by the membership for the
unexpired portion of the term.
Section 4: President.
The President shall preside at all meetings of this Association and at regular
and special meetings of the Executive Committee. The President shall
appointment committee chairpersons and members. The President shall generally manage
the day-to-day business of this Association. The President serves as an
ex-officio member of all committees, except for nominations, and is a signer on
all bank accounts.
Section 5: 1st Vice President. In the absence of the President or in the event of his/her inability or
refusal to act, The 1st Vice President shall perform the duties of the
President, and when so acting, shall have all the powers of and be subject to
all of the restrictions upon the President. Any Vice President shall perform
such other duties as from time to time may be assigned to him/her by the
President.
Section 6: 2nd Vice President. The 2nd Vice President is in charge of publicity of the organization
and membership. This office will promote the organization through activities
and media. The 2nd Vice President will also maintain the membership record and
promote membership.
Section 7: Treasurer.
The treasurer shall have charge and custody of and be responsible for all funds
and securities of the Association. The treasurer shall receive and give
receipts for moneys due and payable to the association from any source
whatsoever, and deposits all such moneys in the name of the Association in
accounts approved by the membership. The treasurer shall prepare a financial
statement for the annual meeting and for any special meetings.
Section 8: Secretary.
The Secretary shall keep the minutes of all meetings of the members. The
Secretary shall see that all notices are duly given in accordance with the
provisions of these bylaws. The Secretary shall perform all duties incident to
the office.
Article VI: STANDING AND SPECIAL COMMITTEES
The standing and special committees of this Association shall be those
deemed necessary by the membership. The President shall appoint committee chairpersons
and members.
Article VII: Certificates of Membership
The Association will provide for the issuance of certificates evidencing
membership in the Association. Such certification shall be signed by the
President and by the Secretary. When membership fees have been paid, a
certificate of membership shall then be issued in his name.
Article VII: GENERAL PROVISIONS
Section 1: Fiscal Year. The fiscal year of this Association shall begin on the first day of
January and end on the last day of December in each year.
Section 2: Parliamentary Authority. The current edition of the Roberts Rules of Order Newly Revised shall
govern proceedings at any meeting of this Association.
Article VIII: AMENDMENTS
These bylaws may be altered, amended or repealed, and new bylaws may be
adopted by the Association with the affirmative vote of two-thirds of the
members of the board. Notice of proposed amendments must be given to all voting
members in good standing at least 30 days before a vote is scheduled.
I certify the foregoing BYLAWS OF THE MPWV MEAT GOAT PRODUCERS
Association were adopted by the membership, this, the ninth day of November
2001.
